1. Acceptance of Terms

By creating an account or accessing stackpad.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. The Service is provided by ByCrux LLC ("we," "us," or "Stackpad").

2. Description of Service

Stackpad is an AI-powered platform for service businesses. The Service includes:

  • A landing page builder with AI-assisted design and content creation.
  • An AI agent that interacts with your page visitors, answers questions in your voice, qualifies leads, and captures contact information.
  • A dashboard for managing leads, conversations, and page analytics.
  • Channel integrations that extend your AI agent to messaging platforms such as WhatsApp and Instagram.
  • Subscription tiers with varying usage limits and features.
  • A payments feature that allows business owners to connect their Stripe account and accept payments from their visitors directly through their Stackpad page and AI agent.

3. User Accounts

Security: You are responsible for maintaining the security of your account. Stackpad is not liable for any loss or damage from your failure to comply with this security obligation.

Age: You must be at least 13 years old to use the Service.

Accuracy: You agree to provide accurate and complete information when creating your account and to keep it up to date.

4. User Content & Ownership

Your Content: You retain full ownership of the text, images, videos, links, and AI agent configuration ("User Content") you upload to Stackpad. We do not claim ownership of your content.

License to Us: By uploading User Content, you grant ByCrux LLC a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content solely for the purpose of providing the Service to you and your visitors.

Responsibility: You are solely responsible for your User Content, including the instructions and context you provide to your AI agent. You represent that you own or have the necessary rights to all content you upload.

5. AI Features

Our Service includes features powered by Artificial Intelligence ("AI"). You acknowledge and agree that:

  • AI-generated responses may not always be accurate, complete, or suitable for your needs. You are responsible for reviewing AI-generated content before publishing it on your page.
  • Your AI agent interacts with visitors on your behalf. You are responsible for the instructions, context, and business information you provide to configure your agent's behavior.
  • Visitor conversations are processed by third-party AI providers (Anthropic) to generate responses. Conversation data is stored on our servers.
  • AI usage is subject to the limits of your subscription tier. Exceeding your tier's limits may result in reduced functionality until the next billing period.

6. Visitor Data & Responsibility

When visitors interact with your Stackpad page and AI agent, conversation data and any information visitors provide (such as name, email, or phone number) is collected and stored on your behalf.

Your Obligations: As a business owner, you are responsible for:

  • Informing your visitors that their conversations are processed by AI and stored electronically.
  • Complying with applicable privacy laws (such as GDPR, CCPA, or local equivalents) regarding the visitor data collected through your Stackpad page.
  • Handling visitor data deletion requests related to information collected on your behalf.

7. Channel Integrations

You may connect third-party messaging platforms (such as WhatsApp or Instagram) to extend your AI agent to those channels. By connecting a channel integration, you agree to:

  • Comply with the third-party platform's terms of service and policies.
  • Ensure that your use of the AI agent on those platforms does not violate the platform's rules regarding automated messaging.
  • Accept that messages on connected platforms are subject to the same storage and processing as web chat messages.

We are not responsible for any changes, restrictions, or actions taken by third-party platforms that affect your channel integrations.

8. Subscriptions & Payments

A. Stackpad Subscription

Tiers: Stackpad offers free and paid subscription tiers with varying usage limits and features. Paid tiers are billed on a recurring basis through Stripe.

Usage Limits: Each tier has limits on editor messages, editor actions, and visitor messages per month. Exceeding these limits may restrict certain features until the next billing period or until you upgrade.

Billing: By subscribing to a paid tier, you authorize us to charge your payment method on a recurring basis. If payment fails, we may retry and, if unsuccessful, downgrade your account to the free tier.

Cancellation: You may cancel your subscription at any time. Your paid features will remain active until the end of your current billing period, after which your account will revert to the free tier.

B. Accepting Payments from Your Customers (Stripe Connect)

Stackpad allows business owners to connect a Stripe account and accept payments from their visitors directly through their Stackpad page and AI agent. By enabling this feature, you agree to the following:

Stripe's Terms: You must create or connect a Stripe account and agree to Stripe's Connected Account Agreement and applicable Stripe terms. Stackpad is not a party to transactions between you and your customers.

Platform Fee: Stackpad charges a platform fee on each transaction processed through your connected Stripe account. The fee is deducted automatically at the time of payment and varies by subscription tier. By using the payments feature, you authorize Stackpad to collect this fee via Stripe's application fee mechanism.

Your Responsibility: You are solely responsible for the products, services, and digital goods you sell through Stackpad, including their legality, accuracy, and delivery. You are responsible for issuing refunds to your customers where required and for complying with all applicable consumer protection and tax laws in your jurisdiction.

Buyer Data: When a visitor completes a purchase, their email address, name, and transaction details are collected on your behalf and made available in your dashboard. You are responsible for handling this data in accordance with applicable privacy laws.

No Warranty on Transactions: Stackpad does not guarantee payment success, fund availability, or dispute outcomes. All payment disputes and chargebacks are handled directly between you, your customer, and Stripe.

9. Acceptable Use Policy

You agree not to use Stackpad to:

  • Publish content that is illegal, violent, pornographic, or constitutes hate speech.
  • Configure your AI agent to provide false, misleading, or harmful information.
  • Promote illegal activities, scams, or malicious software.
  • Impersonate any person or entity.
  • Circumvent usage limits or abuse the Service through automated means.
  • Use the payments feature to sell illegal goods or services, process fraudulent transactions, or engage in any activity that violates Stripe's terms of service.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to remove any content, disable AI agents, or suspend any account that violates these terms at our sole discretion, without prior notice.

10. DMCA Copyright Policy

We respect the intellectual property rights of others. If you believe that material located on or linked to by Stackpad violates your copyright, you are encouraged to notify us at hello@stackpad.ai. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material.

11. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may delete your account at any time through your account settings. See our Data Deletion page for details on what happens to your data.

12. Limitation of Liability

To the maximum extent permitted by law, ByCrux LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, leads, bookings, or goodwill, resulting from your use of the Service, including but not limited to:

  • Inaccurate or inappropriate AI-generated responses to your visitors.
  • Missed leads or failed message delivery on connected channels.
  • Service interruptions, downtime, or data loss.
  • Actions taken by third-party platforms affecting your integrations.
  • Failed, disputed, or refunded payments processed through your connected Stripe account.
  • Delivery failures for digital products or emails sent to your customers.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of any material changes by posting the new Terms on this site or via email. Continued use of the Service after changes constitutes acceptance of the revised Terms.
